Biosafe – Biological Safety Solutions Ltd/Oy: Acquisition of Regal B.V.’s regulatory consultancy business
We advised Biosafe – Biological Safety Solutions Ltd/Oy, a Finland-based health-technology company specialising in food safety and regulatory science, on its acquisition of the consulting business of Regal B.V. (Netherlands). Regal specialises in supporting novel food and feed additive applications before the European Food Safety Authority (EFSA), and serves a global client base.
We provided end-to-end transaction support to Biosafe, from the initial discussions and valuation through to the letter of intent (including the related consultancy agreement) and the final transaction agreement, alongside buy-side business and legal due diligence.
The transaction had a clear cross-border dimension, requiring coordination between Finnish and Dutch legal and tax frameworks, including working through the VAT treatment of the business transfer.
Our team was led by Henri Falck, together with Juha Ilola and Amos Iirola, with Otto Michelsen supporting on legal due diligence and Jussi Aranne advising on tax matters.
