Eversheds advised the owners of Rohea Software Oy, a Finnish provider of the SaaS-based Front Service platform PACE for the financial and insurance sector, on its sale to Evitec.

Eversheds’ work spanned both financial and legal advisory. On the financial side, the team prepared the investment memorandum, compiled the financial materials, and managed buyer outreach and the competitive sale process. On the legal side, the team maintained the data room, assisted with the seller-side financial and legal due diligence, negotiated and finalized the transaction documentation with its relevant appendices.

Altavion Oy: Sale of Albiox Oy to Indutrade AB

Eversheds acted as advisor to Altavion Oy in the sale of its subsidiary Albiox Oy to Indutrade AB (Nasdaq Stockholm: INDT), a Swedish serial acquirer of technology and industrial businesses. Albiox Oy supplies products, equipment and tailored value-added services to the pharmaceutical, research and diagnostics sectors, with a product range covering syringes, needles, packaging solutions and specialty reagents for demanding sterile cleanroom work. The company is a strong addition to Indutrade’s Life Science business area, complementing the Finnish company Labema Oy, which Indutrade acquired in June 2023.

Our team supported Altavion’s shareholders throughout the process, from approaching prospective buyers on behalf of the company through to due diligence and negotiation of the transaction documentation.

Our work covered both financial and legal advisory services, including buyer contact and competitive process management, maintaining the data room, assisting with the seller’s financial and legal due diligence, drafting the completion-related documentation, and negotiating the share purchase agreement and its schedules. Digitalist Group Oyj: Restructuring convertible bond financing

Eversheds acted as legal advisor to Digitalist Group Oyj, a company listed on the main list of the Helsinki Stock Exchange, in restructuring the terms of convertible bonds held by its two largest shareholders and principal financiers, Turret Oy Ab and Holdix Oy Ab. The assignment covered eight separate convertible bond instruments issued between 2021 and 2025, each with its own capital amount, interest terms, and conversion mechanics.

Because both financiers were also among the company’s principal owners, the process required particular attention to the governance requirements applicable to related-party transactions under the Finnish Companies Act, including board members with conflicts of interest recusing themselves from the relevant decisions. Our team supported Digitalist Group from the shareholders’ resolution at the Annual General Meeting through to the signing of the final agreements.

On 30 June 2026, Digitalist Group signed agreements with Turret Oy Ab and Holdix Oy Ab confirming the amended terms, with a total capital amount of approximately EUR 27.7 million.

Surgify Aims for Growth with Multi-Million Euro Investment

We advised the European Innovation Council Fund (EIC Fund) in connection with a €7 million funding round in Surgify Medical Oy.

Surgify Medical Oy is a surgical technology company based in Helsinki, Finland, founded in 2017. The company is developing advanced bone surgery technology designed to protect soft tissues and prevent complications during procedures. Its flagship innovation is a patented drill system that stops automatically upon contact with soft tissue, thereby increasing surgical safety in areas such as the head, neck, and spine.

The funds raised in this round will support Surgify’s growth and international expansion, including entry into the United States market. The funding round was led by ZEISS Ventures and also included the EIC Fund, along with existing investors Lednil and Cascara Ventures.

This transaction is part of the long-term collaboration agreement between Eversheds Sutherland and the EIC Fund.
